Miracle Messages has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites. You acknowledge and agree that Miracle Messages shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. Your access to and use of any services provided by third parties are governed by your separate agreement with such third parties (including their own terms of service and privacy policies). You agree to defend, indemnify and hold harmless Miracle Messages and its licensees and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys’ fees), resulting from or arising out of (a) your use and access of the Digital Services, by you or any person acting as your agent or (b) a breach of these Terms.

Limitation of Liability

In no event will Miracle Messages, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for (A) any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, or (B) any damages that exceed $100 in the aggregate, including any such damages described in (A) and (B) resulting from or in any way connected to (i) your access to or use of or inability to access or use the Digital Services; (ii) any conduct or content of any third party on the Digital Services; or (iii) any content obtained from the Digital Services, in each case whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. Users of the Digital Services agree to bring any claims arising out of or relating to the Digital Services on an individual basis and will not join their claims with any claim of another person through participation in a class action proceeding or otherwise.

Miracle Messages, its subsidiaries, affiliates, and its licensors do not warrant that (a) the Digital Services will be uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; or (c) the Digital Services are free of viruses or other harmful components.

Dispute Resolution

The parties agree to work together in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the parties’ relationship, or any related transactions (each, a “Dispute”). Within ten (10) days after written notice of a Dispute, authorized representatives of the parties will confer and attempt to resolve the Dispute. If the Dispute is not resolved within thirty (30) days after such notice, either party may seek relief in court as provided below. Any action or proceeding arising out of or relating to a Dispute shall be brought exclusively in the state or federal courts located in Santa Clara County, California, and each party irrevocably submits to the personal jurisdiction of such courts and waives any objection to venue or forum non conveniens.

Nothing in this provision limits either party’s right to seek temporary, preliminary, or permanent injunctive or other equitable relief. Each party will bear its own attorneys’ fees and costs in connection with any Dispute unless a statute or court order provides otherwise. All negotiations and any mediation relating to a Dispute are confidential and inadmissible in any proceeding to the fullest extent permitted by law. If any portion of this provision is found unenforceable, it shall be modified to the minimum extent necessary to be enforceable, and the remainder shall continue in full force and effect.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect by posting a notice to the Website. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Digital Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Digital Services.

Waiver and Severability

Our failure to enforce, or delay in enforcing, any provision of these Terms and Conditions will not be deemed a waiver of our rights to enforce them. The invalidity or unenforceability of any provision of these Terms and Conditions will not affect the validity or enforceability of the remaining provisions of the Terms and Conditions, and the remaining provisions shall remain in full force and effect.
